1. Introduction
These Terms and Conditions (“Terms”) govern your access to and use of the Oneup Plaza platform, including our website, mobile applications, digital services, and any affiliated online services (collectively, the “Platform”). The Platform is operated by Oneup Plaza, a company established under the laws of The Gambia, and references to “we,” “us,” or “our” refer to Oneup Plaza. By accessing or using the Platform, you accept and agree to be legally bound by these Terms, our Privacy Policy, Return and Refund Policy, and any other policies referenced herein or made available on the Platform.
These Terms apply to all users of the Platform, including but not limited to registered customers, vendors, delivery agents, and casual visitors. If you do not agree with these Terms, you must refrain from using the Platform.
2. Eligibility and Account Registration
In order to access certain services on the Platform, including purchasing or selling products, users may be required to create an account. You must be at least 18 years old, or the age of majority in your jurisdiction, and possess the legal capacity to enter into a binding agreement. By registering an account, you represent and warrant that all information provided is accurate, complete, and current. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities conducted through your account.
We reserve the right to suspend or terminate any account found to be in breach of these Terms or engaged in any fraudulent, harmful, or unauthorized activities.
3. Platform Services
Oneup Plaza provides a online marketplace where third-party vendors can offer goods and services for sale to consumers. We facilitate transactions between buyers and sellers but do not own, manufacture, or guarantee the products offered by third parties unless explicitly stated.
We reserve the right to modify, suspend, or discontinue any aspect of the Platform, including product categories, vendor services, shipping capabilities, or features, at any time without prior notice. We also retain full discretion to determine the eligibility of any product, listing, or user.
4. User Conduct and Obligations
Users of the Platform agree not to engage in any of the following:
• Violating any applicable laws or regulations
• Uploading false, misleading, or harmful information
• Infringing on the intellectual property or privacy rights of others
• Attempting to interfere with Platform security or backend systems
• Creating fake orders, submitting fraudulent return claims, or manipulating reviews
• Harassing, threatening, or abusing other users, vendors, or our staff
We reserve the right to investigate and prosecute violations to the fullest extent permitted by law and may report unlawful behavior to relevant authorities.
5. Order Processing and Payments
When placing an order through the Platform, you agree that you are making a binding offer to purchase the selected products subject to their availability and the vendor’s acceptance. All prices listed are in Gambian Dalasi (GMD), unless otherwise stated, and may be subject to applicable taxes, duties, and delivery charges.
Payment must be made through one of our approved channels, which may include mobile money, debit/credit cards, bank transfers, or cash on delivery where available. We may require pre-payment or authorization prior to order confirmation.
We are not responsible for failed payments caused by external providers, network errors, or customer inaccuracy.
6. Delivery and Fulfillment
Delivery services are offered in partnership with in-house logistics, third-party couriers, and designated pickup agents. Delivery times are estimated and may vary based on product availability, location, and logistical conditions. We will make reasonable efforts to ensure timely delivery but do not guarantee specific delivery windows unless expressly committed in writing.
You agree to provide accurate delivery information and be available to receive your order. Risk of loss and title pass to you upon successful delivery unless otherwise provided by applicable law.
7. Returns and Refunds
We accept returns and issue refunds in accordance with our Return and Refund Policy. To qualify, the product must meet specified conditions, and claims must be made within defined timeframes. Not all items are eligible for return or refund (e.g., perishable, personal care, custom goods).
Refunds may be processed via store credit, reversal to original payment method, or other means as determined appropriate. Oneup Plaza reserves the right to withhold refund processing where fraud is suspected.
8. Vendor Obligations and Marketplace Integrity
Vendors are independent sellers and are solely responsible for the products they list, their pricing, inventory, descriptions, customer service, and compliance with applicable laws. Vendors must adhere to our Vendor Agreement and Code of Conduct, which are binding upon account approval.
Oneup Plaza may suspend or delist vendors who violate consumer protection laws, misrepresent their products, engage in abusive practices, or receive repeated negative feedback.
9. Intellectual Property
All intellectual property rights associated with the Platform including software, content, logos, trademarks, product descriptions, graphics, and design are the property of Oneup Plaza or its licensors. You may not use, reproduce, or modify any of this content without prior written consent.
Vendors must ensure they have full rights to use all intellectual property associated with their listings and indemnify Oneup Plaza against any third-party claims of infringement.
10. Limitation of Liability
To the maximum extent permitted by law, Oneup Plaza shall not be liable for any indirect, incidental, punitive, or consequential damages arising out of or relating to your use of the Platform, including but not limited to loss of profits, data breaches, delivery delays, or service interruptions. Our total liability, under any legal theory, shall be limited to the total amount paid by you for the product or service in question.
Some jurisdictions do not allow the exclusion or limitation of liability for certain damages, so the above limitation may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless Oneup Plaza, its directors, officers, employees, agents, partners, and affiliates from any claim, loss, damage, liability, or expense (including attorneys’ fees) arising out of your misuse of the Platform, violation of these Terms, or infringement of any third-party rights.
12. Dispute Resolution and Governing Law
These Terms shall be governed by and construed in accordance with the laws of The Gambia, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved amicably through mediation. If not resolved within 30 days, either party may refer the matter to the competent courts of The Gambia.
For cross-border transactions or expansion territories, parties agree to attempt resolution under the applicable local consumer protection frameworks.
13. Modifications to Terms
We reserve the right to amend these Terms at any time. Updates will be posted on the Platform and, where material, will be communicated via email or in-app notification. Continued use of the Platform after such changes constitutes acceptance of the revised Terms.
14. Severability and Waiver
If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect. Our failure to enforce any part of these Terms shall not be deemed a waiver of our rights.
